Reporting directly to the Managing Counsel, we are looking for someone who has experience of working as an Assistant Company Secretary. The role is a permanent member of our team in London.
The role involves providing company secretarial and other support to the Legal, Contracts and Compliance team and other members of the Commercial team in our London office. We are in a period of rapid commercial growth, which means there is opportunity for the scope of this role to grow and develop. This role is ideally suited to candidates who are looking for variety in their day to day activities.
The successful candidate will ensure all statutory requirements for the UK incorporated ConocoPhillips subsidiary companies are fulfilled, including maintaining statutory records, drafting corporate documents, carrying out filings with the Registrar of Companies at Companies House, liaising with other offices and companies to answer queries and fulfil requests regarding the UK entities. Ideally, the desired candidate will have experience gained from working within the Oil & Gas sector, but this is not essential.
Main Duties and Responsibilities of the Role
â Ensure that the UK incorporated ConocoPhillips entities are compliant with current statutory requirements and each individual entity's Articles of Association
â Maintain and update each entity's statutory records
â Assist the Managing Counsel, Europe Commercial with legal and company secretarial matters
â Manage requests for documentation/information/corporate verification from internal departments and external parties
â Arrange and host Board meetings for each entity. Draft Board minutes and ensure officers receive meeting documents in a timely manner
General Duties
â Provide administrative and other support to the Legal, Contracts and Compliance team
â Take minutes of board / committee meetings for the ConocoPhillips pension plans and provide company secretarial support as for the other UK entities
â Process legal invoices

â Conscientious and willingness to work as part of a team and help out on all matters
â Ability to work with tact and diplomacy and with highly sensitive and confidential information
â Proficient in Microsoft packages
â Prior assistant company secretarial experience
â Experience with SAP and Companies House portal is desirable
