About the role
In this busy and exciting role, you will be responsible for supporting the Legal and Company Secretarial team with a full range of legal, corporate governance and company secretarial duties.
Working in a friendly and dynamic head office team of c.20+, you'll ideally have a law degree and have completed (or be working towards) a post-graduate legal and/or governance qualification (e.g. LPC/SQE, LLM Corporate Governance or similar) with legal and/or governance experience gained in an in-house or professional services environment (or even a bit of both!). There is potential for the role to count as qualifying work experience for the purpose of qualification through the SQE route.
The role will be offered on a fixed-term basis, for a period of 6 months and offers a hybrid working arrangement, working 3 days a week at our head office based in London (W1T).
A start date of late November would be ideal.
Role Accountabilities
Governance/Company Secretarial
- Statutory and regulatory compliance: Ensuring all statutory and regulatory filings are maintained and up to date (including Confirmation Statements, Appointments/Resignations, Share Capital filings at Companies House) for the Group subsidiaries.
- Board support: Assisting with the organisation and preparation of papers for the Group Board and Committee meetings, including uploading of Board papers to the board paper portal and assisting with the preparation of draft Agendas/Board Papers/Timetable.
- Corporate reporting: Assisting with the annual year end audit and the preparation of the Annual Report and Accounts, including assistance with drafting the Corporate Governance and Directors' Reports.
- AGM Support: Assisting with the drafting and preparation of documents required for the Annual General Meeting (AGM).
- Know Your Client (KYC) requests: Attending to day-to-day issues as required, including the provision of KYC information regarding the Group companies and working with the Group's Treasury and Finance functions and external legal and accounting advisors where applicable.
- Commercial contracts: drafting and negotiating standard form procurement contracts, variations, and NDAs, with opportunities to work on other types of commercial agreements on an ad hoc basis.
- Policies and precedents: helping to create and maintain internal group legal policies and precedents and supporting other functions with policy reviews where they have legal implications.
- Legal research and compliance: monitoring legal developments and translating them into clear, actionable plans for the business.
- Data protection: supporting the business with data protection compliance and the implementation of best practice, including by maintaining company privacy notices and data protection policies.
- Corporate: supporting with M&A due diligence, corporate projects and other transactional matters as required.
Ideally, you will have previous experience of a similar role with the competence to understand key stakeholders and build your own internal networks.
The ability to learn and maintain general knowledge of all businesses within the Group and attention to detail will be essential.
You will be highly organised and thorough, demonstrating excellent diligence and an initiative-taking, flexible approach.
You will also be personable, discreet, confident, articulate and able to establish strong relationships with individuals at all levels of seniority.
Proficient in Microsoft Office applications (e.g. Word, PowerPoint, Excel and Outlook, effective communication, legal research and writing skills - will all be key.
