Do you have top academics, excellent AmLaw 100, boutique, or in-house corporate finance, secured lending, private equity, securitized transactions, syndicated credit facilities or other strong lending background? Want to work with top attorneys in a collegial, respected, collaborative environment?


The ideal candidate will have a strong background in corporate finance law, experience working with a variety of lenders and financial institutions, such as: lender finance clients, inventory lenders, equipment and real estate lenders, healthcare receivables financiers, providers of supply chain financing, automobile lenders, consumer lenders, funds that purchase financial assets in segmented markets, and participants in other specialized finance areas.


Also, the ideal candidate will possess excellent analytical and communication skills, and a passion for delivering high-quality legal services to clients.


Responsibilities:



  • Work with leading partners on a broad array of corporate finance matters, including asset-based lending, syndicated lending (agent and lender representation), cash flow lending, healthcare finance and trade finance, venture capital, private equity, and corporate governance.

  • You will work with national clients on investment transactions, finance related forms and statements, provide advice on corporate governance, and structuring involving multiple layers of institutional debt, complex intercreditor arrangements and payments in multiple currencies.

  • You will work as lead associate on public and/or private offerings of equity and debt securities, and must have the ability to negotiate, analyze the market, and draft for single-lender deals to highly syndicated, multi-billion-dollar facilities.

  • Ability to understand and collaborate in complementary disciplines including bankruptcy, tax, real estate, corporate and healthcare.



Qualifications:



  • Juris Doctor (J.D.) degree from an accredited law school.

  • Admitted to the Georgia state bar.

  • A minimum of 5 years of experience practicing corporate finance law matters - ideally gained in a large law firm setting.

  • Excellent research, writing, and communication skills.

  • Attention to detail and strong analytical skills.
