Position: Tax & Benefits Attorney (Principal)
Location: Seattle, WA; Spokane, WA; Portland, OR
Type: Full-Time
Experience Level: Senior (10+ years)

Direct Counsel is seeking a Tax & Benefits Attorney with extensive experience in corporate and transactional law to join a leading law firms Tax & Benefits practice. This role offers the opportunity to work on complex business matters, including mergers, reorganizations, acquisitions, and other high-stakes transactions, as well as the development, implementation, and regulation of ESOPs and ERISA-governed plans.

Key Responsibilities

  • Lead and coordinate complex transactional projects
  • Advise clients on mergers, acquisitions, reorganizations, and other corporate transactions
  • Collaborate within a firmwide client service team to deliver comprehensive solutions
  • Provide guidance on ESOP and ERISA matters (prior ESOP experience is a plus)

Qualifications

  • JD from an accredited law school
  • 10+ years of experience as a corporate/transactional attorney in a law firm setting
  • Proven track record of managing significant deals and complex transactions
  • Sound business judgment, strategic thinking, and strong communication skills
  • ESOP experience or Tax LL.M. preferred but not required
  • Portable business is a plus

Compensation & Benefits

  • Salary Range: $180,000 - $300,000 annually (dependent on experience and qualifications)
